1. Acceptance of Terms

By accessing or using the Vouchap mobile application, website, and services (collectively, the "Service"), you agree to be bound by these Terms of Service. The Service is provided by Adaven Consulting, Inc. ("Adaven", "we", "us"), a corporation registered in Manitoba, Canada. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Service & Data Accuracy

2.1 AI and OCR Disclaimer

Vouchap uses advanced Optical Character Recognition (OCR) and Artificial Intelligence to extract data from your documents. While we strive for high accuracy, errors can occur (e.g., misreading a handwritten total or confusing currency symbols).

Use Verification Responsibility: You acknowledge that you are solely responsible for reviewing and verifying the accuracy of all data extracted or generated by the Service before relying on it for accounting, tax filing, or financial reporting. Adaven is not liable for any tax penalties, interest, or financial losses resulting from unverified data.

2.2 Third-Party Integrations (QuickBooks)

Our Service integrates with third-party platforms like QuickBooks Online. We do not control these third-party services. We are not responsible for any synchronization failures, data loss, or service interruptions caused by third-party API changes, downtime, or restrictions imposed by providers like Intuit.

3. User Obligations & Restrictions

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any local, provincial/state, national, or international law.
  • Reverse engineer, decompile, or attempt to extract the source code of the software.
  • Competitor Scraping: Use the Service to compile data for the purpose of training competitive machine learning models or AI systems.
  • Share your account credentials with unauthorized persons.

4. Term, Termination & Data Export

4.1 Termination for Cause

We may terminate or suspend your access immediately if you materially breach these Terms (e.g., fraudulent use, scraping).

4.2 Termination for Convenience

We respect your business continuity. If we discontinue the Service or terminate your account for reasons other than a violation of these Terms, we will provide you with at least 30 days' prior notice via email.

4.3 Data Export

Regardless of the reason for termination, we will make reasonable efforts to allow you access to your account for a period of 30 days post-termination solely to export your User Content (e.g., receipt images and CSV data), subject to applicable laws.

5. Intellectual Property & Data Ownership

  • Your Data: You retain all rights, title, and ownership of the receipts, invoices, and financial data ("User Content") you upload. You grant Adaven a limited license to process this data solely to provide the Service to you.
  • Our IP: Adaven retains all rights to the Vouchap platform, including code, design, algorithms, and aggregated/anonymized usage data.

6. Payment & Taxes

Fees are billed in advance on a monthly or annual basis. All fees are exclusive of applicable federal, provincial, state, local, or other governmental sales, goods and services (GST/HST), harmonized, or other taxes, fees, or charges. You are responsible for paying all applicable taxes associated with your use of the Service.

7. Limitation of Liability

Please read this section carefully.

To the maximum extent permitted by applicable law, Adaven Consulting, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data (including original receipt images), or goodwill.

In no event shall Adaven's aggregate liability for all claims relating to the Service exceed the greater of $100 CAD or the total amount of fees paid by you to Adaven in the 6 months preceding the claim.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the laws of Canada applicable therein. Any disputes arising under this Agreement shall be resolved in the courts of Winnipeg, Manitoba.
