  • What Vouchap is: A platform for receipt tracking, firm–client collaboration, and tax-filing workflows. It is a tool to assist with record-keeping and document collection, not a substitute for professional accounting or tax advice.
  • Your responsibility: You must verify the accuracy of data extracted by our AI (e.g. receipt amounts) before using it for tax, accounting, or reporting.
  • Data ownership: You keep ownership of your data. We process it only to provide the Service.
  • Termination: We may terminate access for breach. For other terminations we will give advance notice where reasonable so you can export your data.

1. Acceptance of Terms

By accessing or using the Vouchap mobile application, web application, and related services (the “Service”), you agree to these Terms of Service. The Service is provided by Adaven Consulting, Inc. (“Adaven,” “we,” “us”), a corporation in Manitoba, Canada. If you use the Service on behalf of an organization (e.g. a firm), you represent that you have authority to bind that organization to these terms.

2. Description of the Service

Vouchap provides:

  • Receipt and document handling: Upload receipts and documents; we use OCR and AI to extract and categorize data to help you track income and expenses.
  • Firm features: If you use the Service as a firm, you can manage clients, create service orders, use a service catalog, assign labels and assignees, and maintain follow-up history. You can invite clients via a branded Secure Portal link.
  • Client features: If you are invited by a firm, you can join their secure portal, view shared tax-filing projects and to-do lists, and upload requested documents. You may also use receipt and expense tracking in your own space.
  • Collaboration: Shared projects and to-do items so firms and clients can see what is requested and what has been submitted, reducing reliance on ad-hoc email.

The Service is offered “as is” for the purposes described. We may change or discontinue features with reasonable notice where practicable.

3. Data Accuracy & AI Disclaimer

We use OCR and AI to extract data from your documents. While we aim for high accuracy, errors can occur (e.g. misread amounts or handwriting).

Verification responsibility: You are solely responsible for reviewing and verifying the accuracy of all data extracted or generated by the Service before relying on it for accounting, tax filing, or financial reporting. Adaven is not liable for tax penalties, interest, or financial losses resulting from unverified data.

4. User Obligations & Restrictions

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to scrape or compile data to train competing AI or machine-learning models.
  • Share your account credentials with unauthorized persons, or allow anyone else to access the Service through your account except as permitted (e.g. firm staff with proper roles).
  • Upload content that infringes others’ rights or that contains malware or illegal material.

5. Term, Termination & Data Export

5.1 Termination for Cause

We may suspend or terminate your access immediately if you materially breach these Terms (e.g. fraud, abuse, or violation of these rules).

5.2 Other Termination

If we discontinue the Service or terminate your account for reasons other than your breach, we will use reasonable efforts to give you at least 30 days’ prior notice (e.g. by email) where practicable.

5.3 Data Export

After termination, we will make reasonable efforts to allow you to access your account for a limited period (e.g. 30 days) solely to export your data (e.g. receipt images and exported data), subject to applicable law and technical feasibility.

6. Intellectual Property & Data Ownership

  • Your data: You retain ownership of the receipts, documents, and other content you upload (“User Content”). You grant Adaven a limited license to process, store, and display User Content only as needed to provide the Service to you and, where applicable, to other users you have linked (e.g. your firm or your clients).
  • Our IP: Adaven retains all rights in the Vouchap platform (software, design, algorithms, and aggregated or anonymized usage data).

7. Payment & Taxes

If you subscribe to a paid plan, fees are as stated at the time of sign-up and may be billed in advance (e.g. monthly or annually). All fees are exclusive of applicable sales, GST/HST, or other taxes. You are responsible for any taxes due on your use of the Service.

8. Limitation of Liability

Please read this section carefully.

To the maximum extent permitted by law, Adaven Consulting, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising from or related to the Service.

Our total aggregate liability for all claims relating to the Service shall not exceed the greater of $100 CAD or the total fees you paid to Adaven in the 6 months before the claim arose.

9. Governing Law & Disputes

These Terms are governed by the laws of the Province of Manitoba and the laws of Canada applicable therein. Disputes shall be resolved in the courts of Winnipeg, Manitoba.
